Managed Network Plans — Terms & Conditions

1

Service Description

Crosstalk Solutions Managed Network Plans provide ongoing monitoring, maintenance, and support for your network infrastructure. Here’s the framework for how it all works.

In these terms, “Crosstalk,” “we,” or “us” refers to Crosstalk Solutions LLC. “Customer,” “you,” or “your” refers to the individual or organization subscribing to a Managed Network Plan.

We offer three plan tiers — Basic, Standard, and Premium — each with different levels of monitoring, support, and included services. The specific features, device limits, and pricing for each plan are described on our Managed Networks page. These terms govern the billing, cancellation, and service relationship for all three tiers.

Billing & Payment

We keep billing straightforward. You can pay monthly or annually — here’s how each works.

Monthly Plans

  • Billed automatically to the credit card on file each month.
  • A valid credit card must remain on file for the duration of your service.
  • Billing occurs on the same calendar date each month (based on your signup date).

Annual Plans

  • Prepaid at a discounted rate — you pay for 10 months and get 12 months of service.
  • Annual plans are invoiced. Payment is due immediately upon receipt unless NET30 terms have been arranged in advance.
  • Your annual term begins on the date payment is received.

General

  • All prices are listed in USD.
  • Crosstalk reserves the right to adjust plan pricing with at least 30 days’ written notice. Price changes take effect at the start of your next billing cycle (monthly) or renewal period (annual).
  • If payment is not received within 30 days of the due date, services may be suspended until the balance is resolved.

Annual Plan Early Cancellation

Annual plans come with a built-in discount — you’re paying for 10 months and getting 12. If you cancel before the year is up, here’s how refunds work.

When an annual plan is cancelled before the 12-month term ends, the months you’ve already used are retroactively charged at the standard (non-discounted) monthly rate. Your refund is the difference between what you paid and the cost of those months at the full monthly price.

The formula is simple:

Refund = Amount Paid − (Months Used × Standard Monthly Rate)

Example: You’re on the Standard annual plan and paid $2,490 upfront. After 6 months, you decide to cancel.

$2,490 − (6 months × $249/mo) = $2,490 − $1,494 = $996 refund

You used 6 months of service at $249/mo ($1,494 total), so the remaining $996 is refunded to you.

Here’s a reference for all three plan tiers:

Plan Annual Price Monthly Rate Per Month (Annual)
Basic $990 $99/mo $82.50/mo
Standard $2,490 $249/mo $207.50/mo
Premium $3,990 $399/mo $332.50/mo

If the calculated refund amount is zero or less (i.e., the cost of months used at the standard monthly rate equals or exceeds the amount paid), no refund is issued.

4

Cancellation Policy

There are no long-term contracts. We earn your business every month — not with fine print.

Monthly Plans

  • You can cancel at any time.
  • Cancellation takes effect at the end of your current billing period.
  • No refunds are issued for partial months.

Annual Plans

  • You can cancel at any time. Early cancellation refunds are calculated as described in Section 3.

How to Cancel

To cancel your plan, contact us by email at info@crosstalksolutions.com or by phone at 541-787-8870. We’ll confirm your cancellation and process any applicable refund.

Termination by Crosstalk

  • We may terminate your service with 30 days’ written notice for any reason.
  • We may terminate service immediately in cases of non-payment, misuse, or breach of these terms.
  • If we terminate your service without cause, any prepaid fees for unused service will be refunded.
5

Plan Changes

You can upgrade or downgrade your plan at any time. No hoops to jump through.

Upgrades

  • Take effect immediately.
  • For monthly plans, the price difference is prorated for the remainder of your current billing period.
  • For annual plans, the difference between your current plan and the new plan is prorated for the remaining months in your term.

Downgrades

  • For monthly plans, the downgrade takes effect at the start of your next billing period.
  • For annual plans, the downgrade takes effect at your next annual renewal.
6

Device Limits

Each plan includes a maximum number of managed network devices. No surprise charges here — if you go over, we’ll talk about it.

Plan Device Limit
Basic Up to 20 devices
Standard Up to 50 devices
Premium Unlimited

“Network devices” means managed infrastructure hardware such as gateways, switches, and access points. End-user devices like laptops, phones, and tablets are not counted toward your device limit.

If you exceed your plan’s device limit, we’ll reach out to discuss moving to the appropriate tier. There are no automated overage charges — we handle it through a conversation, not a surprise on your invoice.

7

Troubleshooting Hours

Standard and Premium plans include monthly troubleshooting hours that roll over so you can bank them for when you actually need them.

Plan Included Hours
Basic None included
Standard 0.5 hours/month
Premium 1 hour/month

Rollover Policy

  • Unused hours roll over month-to-month for up to one (1) year from the date they were accrued.
  • After 12 months, unspent hours expire on a first-in, first-out basis. The oldest unused hours expire first.
  • Rolled-over hours do not carry over if the plan is cancelled or downgraded to a tier that does not include troubleshooting hours.

Additional Hours

Need more time beyond your included or banked hours? Additional troubleshooting time is available at your plan’s discounted hourly rate:

  • Basic: $195/hr
  • Standard: $175/hr
  • Premium: $160/hr
8

Limitation of Liability

We stand behind our work, but there are reasonable limits to what we can be responsible for. Here’s the deal.

  • Crosstalk Solutions’ total liability for any claim arising from or related to managed network services shall not exceed the total fees paid by you in the twelve (12) months immediately preceding the event giving rise to the claim.
  • Crosstalk is not liable for internet outages, ISP service issues, hardware failures outside our control, force majeure events, or disruptions to third-party services.
  • In no event shall Crosstalk be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business opportunity.
  • Our managed network services cover monitoring and management of your network infrastructure as described in your selected plan. We do not guarantee uptime of your network — we guarantee that we will perform the monitoring and management services described in your plan.
  • You are responsible for maintaining adequate backups of your own business data. Crosstalk’s network configuration backups are not a substitute for your organization’s data backup strategy.
9

Modifications to Terms

We may update these terms from time to time. Here’s how we handle that.

  • Crosstalk reserves the right to update these terms at any time.
  • For material changes, we will notify you by email at least 30 days before the changes take effect.
  • The “Last Updated” date at the top of this document reflects the most recent revision.
  • Continued use of our services after changes take effect constitutes acceptance of the updated terms.
  • If you do not agree with updated terms, you may cancel your plan per our Cancellation Policy (Section 4).
10

General Provisions

  • Governing Law. These terms are governed by and construed in accordance with the laws of the State of Oregon, USA, without regard to conflict of law principles.
  • Severability. If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
  • Entire Agreement. These terms, along with any written service agreement between the parties, constitute the entire agreement regarding your use of Crosstalk Managed Network Plans and supersede any prior agreements or understandings.
  • Waiver. Failure by Crosstalk to enforce any provision of these terms shall not constitute a waiver of that provision or any other provision.
  • Assignment. Crosstalk may assign these terms in connection with a merger, acquisition, or sale of assets. You may not assign your rights or obligations under these terms without our prior written consent.
